Terms of Use

Shepherd, in short

Shepherd is a place where coaches publish training challenges and coach the people who buy them, and where those people train, log their sessions and hear from their coach. Shepherd provides the software. Coaches are independent: they are not our employees or agents, and each is responsible for her own programs, advice and conduct.

Not medical advice

Shepherd and the coaches on it offer fitness coaching, not medical care. Nothing in Shepherd is a diagnosis or a treatment, and readings from Apple Health or a wearable, and anything said about them, are information, not medical judgment. Talk to a doctor before starting a new program, especially if you are pregnant, injured, or have a health condition. Stop and get help if something hurts or feels wrong. You train at your own risk, and you are responsible for choosing weights and movements that are safe for you.

Your account

You must be at least 16, and old enough to make a purchase where you live, to use Shepherd. Give us accurate details, keep your sign-in to yourself, and tell us at rosemancam@gmail.com if you think someone else has used your account. One account is for one person.

Subscribing to a challenge

• Challenges are sold on each coach’s page on the web, as a subscription paid through Stripe. The app itself does not sell anything. The coach sets the price, by the month and, when they offer it, by the year, shown before you pay, including any taxes that apply.
• Your subscription is tied to the email you paid with. Sign in to the app with the same email and the challenge is there.
• Your subscription renews at the end of each month or year you paid for until you cancel. You can cancel any time, and the challenge stays yours until the end of the time you have already paid for. If we ever close Shepherd, we will give you notice first.
• If something is wrong with a payment, write to rosemancam@gmail.com within 14 days of it and we will put it right, by a refund where it is due. This does not limit any right to a refund you have under the law where you live.

Coaching and what you share

When you subscribe to a coach’s challenge, they become your coach on Shepherd. They can see your training and the notes between you, and only the health and wellness information you switch on for them. You can change those switches at any time. Our Privacy Policy explains what is collected and how it is used, and is part of these terms.

Apple Health and wearables

Connecting Apple Health or a wearable is your choice. Those services are provided by Apple and by the wearable companies, under their own terms; we are not responsible for their accuracy or availability. A wearable that is not yet available in Shepherd says so in the app.

What you post

Voice notes, messages, posts and anything else you add to Shepherd remain yours. You give us a license to store, process and show them to the people you send or post them to, only to run Shepherd. You confirm you have the right to share what you post.

In rooms and in notes, do not:

• harass, threaten, demean or discriminate against anyone;
• share anyone’s personal or health information without their permission;
• post anything unlawful, sexually explicit or misleading, or anything that encourages unsafe training or eating;
• advertise, spam, or collect information about other people.

We may remove content that breaks these rules and suspend accounts that keep breaking them.

If you coach

• You are responsible for your challenges, your cues and films, your advice, and for being qualified, licensed and insured as your work and where you work require. Do not give medical advice or make health claims you cannot back.
• You set your prices. Shepherd keeps a platform fee from each sale, 20% unless your written agreement with us says otherwise, and pays you the rest through our payment provider once payouts are set up. You are responsible for your own taxes.
• You keep ownership of what you create. You give us a license to host, show and deliver it to the people who buy it, and to show it on your page to promote it, while it is on Shepherd. People who bought a challenge keep access to it even if you later remove it.
• Use your clients’ information only to coach them on Shepherd, keep it confidential, and respect their sharing switches. Do not copy it out of Shepherd for other purposes.
• A coach account is closed by writing to rosemancam@gmail.com, so that the people who bought your challenges keep them.

Using Shepherd fairly

Do not misuse Shepherd: do not try to get into accounts or data that are not yours, interfere with how it runs, copy or resell it, scrape it, or use it to break the law. Shepherd, its design, software and name belong to Shepherd Holistic LLCand its licensors; apart from your own content, these terms do not give you any rights in them.

Ending

You can delete your account in the app, from Settings, at any time. We may suspend or close an account that breaks these terms or puts others at risk, and we will tell you why unless the law or someone’s safety prevents it. Sections that by their nature should continue, such as ownership, disclaimers and limits of liability, continue after your account ends.

Disclaimers and limits

We work to keep Shepherd available, accurate and safe, but it is provided “as is” and “as available”, without warranties of any kind, to the fullest extent the law allows. To the fullest extent the law allows, Shepherd Holistic LLC is not liable for indirect, incidental, special or consequential damages, or for injury that results from training or from a coach’s advice, and our total liability to you for any claim is limited to the amount you paid Shepherd in the twelve months before it. Some places do not allow these limits, so they may not all apply to you.

You agree to compensate us for claims and costs that arise from your breach of these terms or your misuse of Shepherd.

The App Store

These terms are between you and Shepherd Holistic LLC, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support for it, and is not responsible for claims relating to it, including product liability, legal or regulatory compliance, or intellectual property claims. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. You confirm you are not in a country under US government embargo and are not on a US government list of restricted parties.

Disputes

If something goes wrong, write to rosemancam@gmail.com first; most things are settled that way. These terms are governed by the laws of the State of Tennessee and the United States, without regard to conflict-of-law rules, and disputes will be heard in the state or federal courts located in Davidson County, Tennessee, unless the law where you live gives you the right to bring them at home.

Changes

We may update these terms as Shepherd changes. We update the date at the top, and for a significant change we tell you in the app or by email before it takes effect. Continuing to use Shepherd after that means you accept the new terms.
